Despite the global financial crisis, which also affected the legal market, 2009 was by far the most successful year in the 15-year history of bpv Braun Partners. The success experienced in 2009 enabled the firm to make changes to its organisational and ownership structure, which will bring entirely new opportunities and fresh outlook, namely for the new partners and lawyers who are to join the team in mid-April 2010. The aim of the new structure is to build a long-term partnership – not just among the owners but also with the associates and clients, which is also reflected in the new name: bpv Braun Partners.
„On the one hand, our significant development could be explained by the transactions in the energy industry. On the other hand, we also experienced a steep increase in business in the area of insolvency law, banking & finance and advisory service provided to Czech companies with respect to German law, and also in representation in litigation and arbitration proceedings“, says Arthur Braun, managing partner of the firm.
Mr. Pavel Vincík, who has been with the firm since 1996, commented on the new structure: „We are very pleased to welcome Mr. Jiří Bárta LL.M. as a new partner to our law firm. Mr. Bárta is a seasoned lawyer who was with the international law firm Lovells for more than 10 years leading their real estate practice since 2007. With his move to our firm, we are expanding our real estate capabilities."
The law office bpv Braun Partners currently consists of 24 professional lawyers with broad international experience. The mid-term objective of today’s five partners of bpv Braun Partners is to build a team of 30 to 35 highly-qualified lawyers and tax advisors. The future growth is expected to be organic instead of seeking a merger with other law firms. The considered development of our Slovak branch continues with the same success.

Tomáš Linhart worked with bpv BRAUN HAŠKOVCOVÁ briefly in 2008 as a trainee and now returns after having successfully passed the bar exams in Germany. In addition to this, Tomáš also worked at the Provincial Court in Passau for two years and in one of the local law offices. During this period, he gained experience mainly in the area of Community law and German commercial law. Tomáš graduated from the Law School of the University of Passau, where, as one of the few Czech students, also successfully completed his trainee practice (an equivalent of a junior trainee in the CR). In addition to his mother tongue, he is fluent in German, English and French.

Starting January 2009 bpv GRIGORESCU expands its contentious practice into a full-fledged Litigation and Arbitration practice area. The practice will be headed by Liz Minea who joined our firm as a partner.
The decision to expand the Litigation and Arbitration practice was triggered by the large number of client requests for litigation and arbitration services and by the need to complement the advisory practice with litigation knowledge and experience allowing us to design the best possible conflict prevention strategies.

On 15 May 2008 bpv GRIGORESCU hosted in its offices a real estate event as part of a series of Special Events focused on real estate in CEE and SEE countries organized by CompEtencE Circle - the real estate industry platform for the New Europe.
The focus of the event was the panel discussion "Bucharest - Urban Planning, Investment and Real Estate Market" which benefited from the presence of leading representatives of the real estate industry from companies such as AIG/Lincoln, Chapman Taylor Romania, CompEtencE Circle, CPB International Property Consultants and UniCredit S.p.A, as well as from the hosting firm bpv GRIGORESCU.
The panel discussion was followed by an evening cocktail and networking session allowing the speakers and the attending participants to discuss their interests and develop business relationships.

On April 17, 2008 bpv GRIGORESCU officially inaugurated its new offices with an elegant cocktail reception organized in its meeting and conferencing area.
This special event brought together a large group of bpv GRIGORESCU's clients, colleagues from member firms of the bpv LEGAL alliance, business partners and local staff. The atmosphere created in the historic building located at 33, Dionisie Lupu Street was animated by Electric Brother and Vlaicu Golcea. In February 2008 bpv | JÁDI NÉMETH hired a new German senior associate in order to strengthen the “German Desk”. Ms. Dagmar Reindl, LL.M (29) passed her First Legal State Exam in 2003 at the Friedrich-Alexander-University Erlangen- Nürnberg. After having successfully passed the bar exam in 2005 and qualifying as a German Lawyer, Ms. Reindl post-graduated at the Andrássy Gyula University in Budapest in the fields of comparative political and legal studies and received her Master of Law degree (LL.M.). In September 2007 she became a doctoral candidate at the European Legal Studies Institute of the legal faculty of the University of Osnabrück in Germany. Her thesis is titled “The Effectiveness of defense and recovery of the Hungarian public procurement law”. Ms. Reindl is a member of the German Bar Association in Nürnberg. During her time as a legal trainee she worked as a free-lancer for the law firm Dr. Endress & Partner in Nürnberg, primarily in the fields of real estate law. After having done her Master of Law degree she worked as a legal intern for the Hungarian Ministry of Justice, at the Department for coordination of European Law and the jurisdiction of the European Court of Justice. Before joining bpv | JÁDI NÉMETH, she worked as an associate for the law firm bnt Szabó Tom Burmeister in Budapest and experienced a trilingual and multi-disciplinary environment. She gained professional expertise especially in the fields of German and Hungarian corporate and economic law, labor and civil law. Ms. Dagmar Reindl is a German citizen and fluent in Hungarian and English and also has elementary knowledge in French and Italian.

In less than 2 years from its establishment, due to rapid business growth, independent Romanian law firm bpv GRIGORESCU will relocate into a state–of-the-art historic building in central Bucharest.
Starting 4 February 2008 the new address of bpv GRIGORESCU will be 33, Dionisie Lupu Street, in the historic villa "Miclescu - Bossy", a building fully reconverted into a modern office facility, while keeping its heritage architecture and original decoration. "We needed office space that had to be suitable in terms of both representation and functionality, as well as supportive of our planned growth in the following years. We are very satisfied with the outcome, achieved with the great support offered by Colliers, as the new location is a special building with state-of-the-art facilities creating an excellent working environment", says Catalin Grigorescu, Managing Partner of bpv GRIGORESCU. "Due to the fact that the villa is located in the close proximity of a multitude of historic buildings, we intend to keep it in the artistic circuit and support the urban culture events taking place during the summer of 2008 on Verona Street", continued Catalin Grigorescu. The relocation was a prerequisite for bpv GRIGORESCU law firm in order to cope with the fast pace of its business growth. Upon its establishment in 2006 the firm started with 8 lawyers and now the team counts for 18 professionals specialised in different areas law. In 2008 the team will increase by an anticipated 10 professionals. The location provides appropriate office space for approximately 40 professionals, plus administrative staff and an extension possibility in a connected building which is part of the second stage development of the property. At the same time the portfolio of clients grew at a constant rate allowing for the firm to gain recognition, increase its prestige and expertise. The fastest growth was achieved by the Corporate and M&A practice area. In the last half of 2007, among other projects, bpv GRIGORESCU was involved in 3 major M&A transactions: the sale of Best Distribution (part of RTC Holding) to the Greek company CD Media, the acquisitions of BIP (leading local sales and marketing outsourcing company) by British company IMSG and the sale of Pay Store (subsidiary of RTC Holding) to PayPoint plc. "We built a strong team of lawyers with expertise in Corporate and M&A. This practice area contributed by more than 40% to bpv GRIGORESCU's overall turnover this year, which was slightly over EUR 2.3 million”, says Catalin Grigorescu. "We have reasonable expectations that our 2008 turnover will exceed EUR 3 million."

Bucharest, 24 January 2008. BIP Grup Romania, a leading Romanian sales and marketing outsourcing company, was advised by bpv GRIGORESCU law firm on the share purchase agreement concluded in December 2007 with the UK-based company IMSG (leading UK company in sales and marketing services). The legal advice provided during negotiation and contract conclusion covered corporate, M&A and tax issues.Besides the assistance with negotiation of the share purchase agreement, the legal advisory services provided by bpv GRIGORESCU also covered issues relating to the management agreements concluded with the management of BIP Grup Romania. It was specifically requested by the acquiring company that the present management will continue its mandate for the following 5 years due to the nature of the business in which both seller and buyer are active.According to the contractual terms, the transaction between BIP Grup Romania and IMSG is a staged process and, as a result, the acquisition will be completed in 3 years with the value of the final purchase price depending upon BIP Grup Romania financial results.The team of lawyers that worked on this transaction was lead by Alexandru Rusu, Partner with bpv GRIGORESCU."I am very satisfied with the legal work supplied by bpv GRIGORESCU team of lawyers and I think that much of the transaction success was due to their professionalism and dedication. Prague, 21 January 2008 Prior to joining bpv Braun Haškovcová Mgr. Dagmar Bicková (29) worked for six years at PWC and most recently for the law firm KMVS. During this period she was engaged mainly in commercial, financial and, in particular, pharmaceutical law. Dagmar also gained experience in the field of tax consultancy. Dagmar graduated from the Faculty of Law at Palacky University in Olomouc; she is fluent in English, Spanish and German.
Mgr. Petr Šabatka (25) will strengthen the real estate and commercial law practice. For the last two years he has worked as an articled clerk (je to OK, nepoužíváme jiný výraz?) for Sodomka, Souček, Jindra, Mokrý & partners. Petr graduated from the Law Faculty at Masaryk University in Brno and he is currently studying for his doctor’s degree in private law at Charles University in Prague. Prague, 19 December 2007 bpv Braun Haškovcová will be responsible for UTC operations, transactions and litigation legal services for the next three years. UTC specializes in industrial products like air conditioning systems, elevators and escalators, aircraft engines, helicopters as well as in protection services. Bucharest, 15.11.2007 Partner Catalin Grigorescu and associate lawyer Raluca Ittu from bpv GRIGORESCU law firm advised RTC Holding and CD Media on their recent negotiations regarding the sale of BEST Distribution. According to the agreement, CD Media, a regional player in video games and consoles industry took over 40% of Best Distribution’s shares and retains the option to acquire the remaining 60% within 6 months. This is the second transaction on which RTC turns to bpv GRIGORESCU for legal advice after this year sale of Pay Store SRL division to Paypoint, the leading cash and internet payment company in UK and Ireland.The legal advice provided by bpv GRIGORESCU to both seller and buyer included contract drafting and review, assistance during negotiation and closing as well as in the registration phases of the transaction. “We are very pleased to assist this second large transaction of RTC Holding and our cooperation until now demonstrates that our commitment to knowing our client’s business and to building an excellent partnership is a good recipe” says Managing Partner Catalin Grigorescu. He adds that “As opposed to the majority of our projects, the fact that we were engaged by both the seller and the purchaser, as joint adviser, put us in the position to rather guide and mediate the relationship between the parties to the transaction, than to defend a party’s position and interests“. Bucharest, 25 September, 2007. A team of bpv GRIGORESCU lawyers, led by partner Anca Parascan, advised EvoBus, leading full-line supplier on the European bus and coach market, throughout the entire transaction process. The support provided to EvoBus included legal assistance for the preparation of tender documentation and support during negotiation of the public procurement contract with RATB. According to the terms of the contract signed in September 2007, the first 50 Mercedes-Benz Citaro buses will be delivered by EvoBus in December 2007 and the remaining 450 are to be delivered by the end of 2009. This is the second transaction concluded by RATB and EvoBus after the first acquisition of 500 city buses in 2005. "Usually, public procurement transactions can easily turn into time consuming deals due to additional request for clarifications and claims raised by the participants in the tender. In the case of this deal, due to the professionalism of the teams involved, everything went smooth and therefore the deal was concluded in less than 4 months", says partner Anca Parascan.

Prague, 1 September 2007 bpv Braun Haškovcová has appointed Pavel Vincík, David Vosol and Fritjof Winkelmann to its new partners.
Prior to bpv Braun Haškovcová, Mgr. Bc. Pavel Vincík was at Haarmann Hemmelrath, where had worked since 1996 as a graduate of law and economics, firstly as a legal trainee, and latterly as lawyer. Pavel's particular focus lies on Business Law, Real Estate Law, and Litigation. Over many years he has also developed exceptional skills in the field of new investments.
Mgr. David Vosol MBA, member of the team since 2000, gained his first experience abroad and with a large international law firm based in Prague. His economical thinking and understanding is manifested not only by his Master of Business Administration degree, but above all by his day-to-day work for the clients. Though his principal areas of practice are transactions and acquisitions in Corporate and Real Estate Law, David also has considerable experience in restructuring processes and in the area of Banking and Financial Law.
Prior to bpv Braun Haškovcová, Fritjof Winkelmann also worked for Haarmann Hemmelrath. Before this, he had worked for seven years at a medium-sized law office based in Germany. Fritjof specialises in conducting trials and arbitration, and his other areas of professional interest are Insurance Law, Real Estate Law, and renewable energies.
